These Terms of Service ("Terms") govern your access to and use of the Bioscript Chrome extension, website, and all related services (collectively, the "Service") provided by Bioscript ("we," "us," or "our").

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
To use Bioscript, you must sign in with a valid Google account. By doing so, you represent that:
You are responsible for maintaining the confidentiality of your account and for all activities that occur under it. Notify us immediately if you suspect unauthorized use of your account.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
Bioscript may require you to provide your own OpenAI API key to enable AI features. By providing an API key:
We store your API key securely and use it solely to make requests on your behalf. We do not share your API key with third parties other than the intended API provider.
After the free trial period, continued access to Bioscript's features requires a paid subscription ("Bioscript Pro"). Subscription pricing is displayed on our pricing page and is subject to change with reasonable advance notice.
Subscription fees are billed monthly in advance. All fees are quoted in US dollars and are non-refundable except as required by applicable law or as described below. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
All payment processing is handled by Stripe. By subscribing, you also agree to Stripe's terms of service. We do not store your payment card details.
You may cancel your subscription at any time through the Settings menu within the extension. Cancellation takes effect at the end of the current billing period; you will retain access to Pro features until then. We do not provide partial refunds for unused subscription time.
We reserve the right to change subscription pricing. We will provide at least 30 days' notice of any price increase. Your continued use of the Service after a price change constitutes acceptance of the new price.
New users receive a 72-hour free trial providing full access to all Bioscript Pro features. No credit card is required to start the trial.
At the end of the trial period, access to paid features will be restricted until you subscribe. Trial periods cannot be extended, reset, or transferred.
We reserve the right to modify or discontinue the free trial offering at any time.
The Service and its original content (excluding User Content and third-party content), features, functionality, branding, and underlying technology are and will remain the exclusive property of Bioscript and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Bioscript extension for your personal or internal research purposes.
This license does not include the right to sublicense, sell, resell, transfer, assign, or otherwise exploit the Service commercially.
"User Content" means data, text, and other materials that you store in the Service, including research notes, folder names, research profiles, and chat interactions.
You retain ownership of your User Content. By using the Service, you grant us a limited license to store, process, and transmit your User Content solely for the purpose of providing the Service to you.
You represent and warrant that you have all rights necessary to provide your User Content to us and that your User Content does not infringe any third-party rights or violate any applicable law.
The Service integrates with or relies on third-party services including Google OAuth, OpenAI, Supabase, and Stripe. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the practices or content of any third-party service.
The Service may display links to external websites or academic databases. We do not endorse, control, or assume responsibility for the content of any external site. Access to third-party sites is at your own risk.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIOSCRIPT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM OR (B) $10 USD.
Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Bioscript and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your User Content, your violation of these Terms, or your violation of any third-party right.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms.
You may stop using the Service at any time by uninstalling the extension and canceling any active subscription.
Upon termination: your right to use the Service ceases immediately; you may request deletion of your data as described in our Privacy Policy; provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnification) shall survive.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the United States, and you consent to personal jurisdiction in those courts.
Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at the address below. We will try to resolve the dispute within 30 days.
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you in advance (for example, via in-extension notice or email). Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
